Terms & Conditions

Please read this entire page before you agree and begin to complete the product submission process. 

By your completing the product submission process and in consideration of the review of your product
submission, you hereby irrevocably acknowledge and agree, with the intention of being legally bound, to
the following terms and conditions: 1. You represent that: (i) any product and all material submitted
with a product, including, without limitation, the Vendor Materials (as defined below), shall be original
with you and that no other person has an interest therein or claim thereto; or (ii) you have sufficient
rights in and to the product and all materials submitted with a product, including, without limitation, the
Vendor Materials, such that your submission to HSNi, LLC and its parents, affiliates, and subsidiaries
(collectively, “HSN”) shall not violate the intellectual property rights or other proprietary rights of any
third party. 2. You hereby grant all necessary permissions to HSN to reproduce, use, and display any
photographs, images, video clips and/or audio clips (collectively, the “Vendor Materials”) supplied by
you to HSN, in all means and media now or hereafter existing, in connection with the promotion of HSN,
its business and/or your product. Such permissions include, but are not limited to, the right to display,
digitize, reproduce, enlarge, reduce, crop, edit or otherwise modify the Vendor Materials. You
acknowledge and agree that HSN shall have no obligation to pay any compensation, fees, commissions
or charges to you or any third party for the use of the Vendor Materials as described herein. 3. You
acknowledge that review of the product submission in no way implies or creates a confidential
relationship or any other obligation of any kind between you and HSN, including, but not limited to, an
obligation by HSN to maintain the secrecy of any product or material submitted, to pursue your product,
or to pay any consideration for any use of your product or material. 4. You acknowledge and give
consent for HSN to transfer your submission to a third party for the purposes of review and/or potential
development of your product or material. You acknowledge that as part of transferring the information
from your submission, there may be personally identifiable information contained in your submission,
product or material, and you give consent to HSN to transfer the same, and you warrant that HSN and
its service providers have the right to use such personally identifiable information as contemplated in
these terms and conditions. 5. You acknowledge that HSN may have developed, or may develop in the
future, a product or material that contains elements or features similar or identical to the product or
material submitted by you. 6. Your rights and remedies in connection with your product submission to
HSN, or the product’s use by HSN if any, shall be limited exclusively to the rights and remedies you may
be entitled to under applicable United States patent, copyright, and other intellectual property laws. The
acceptance, consideration, and/or use of the product or material submitted with a product by HSN shall
in no way restrict HSN’s right to contest the validity of any patent, trademark, service mark, or copyright
that may have been or may hereafter be issued on, or obtained for, the product or material submitted.
7. You hereby waive all claims you may have of any nature whatsoever arising out of any disclosure or
submission you may make to HSN. Furthermore, HSN accepts no responsibility for the safe arrival,
handling, or return of any submission or material submitted with a product, and you hereby release HSN
from any and all liability for loss of, or damage to, any product or material submitted to HSN. 8. These
terms and conditions shall inure to the benefit of the parties hereto and their respective heirs,
successors, representatives, assigns, and licensees. 9. You hereby agree that you have read and
understand these terms and conditions, and that these terms and conditions contain the entire
understanding between you and HSN regarding your product submission and may not be modified or
waived except in writing signed by a duly authorized officer of HSN. 10. Should any provision or part of
any provision be void or unenforceable, such provision or part thereof shall be deemed omitted, and
these terms and conditions with such provision or part thereof omitted, shall remain in full force and
effect. 11. These terms and conditions shall be governed by and construed in accordance with the

internal laws of the State of Florida without regard to conflict of laws principles. Any suit brought under
or in connection with these terms and conditions may be brought only in the courts of the State of
Florida, Pinellas County, or in the U.S. District Court for the Middle District of Florida, and you hereby
consent to the personal jurisdiction and venue of such courts. [ ] I agree to the above terms and
conditions. Eligibility In order to be eligible for HSN’s PRODUCT SEARCH (the “Search”), you and/or your
product (as applicable) must comply with all eligibility requirements established by HSNi, LLC and its
parents, affiliates, and subsidiaries (collectively, “HSN”) for the Search, including the following: • Your
product may not previously have been, and may not currently be, marketed, promoted, distributed or
sold by HSN. • Your product must pass all applicable HSN quality assurance testing and otherwise
conform to all applicable HSN regulations and standards. • Your submission must include all required
fields in the submission form, as well as a video. The video should follow these guidelines: • Length
should be 2 minutes or less. • Video should include an introduction of yourself and how you are related
to the product (e.g., inventor, CEO, brand representative, etc.). • Video should include your best
‘product pitch,’ highlighting the features and benefits of the product, as if you were selling on-air at
HSN. • Please note that we require a video link (e.g., YouTube, Vimeo, etc.), as opposed to an actual file
upload. • You must comply with HSN’s shipping instructions (which may include utilization of HSN’s
designated drop ship vendor, as determined by HSN) for customer fulfillment. • If selected as a finalist
of the Search, you must provide sufficient product samples as requested by HSN. • If selected as a
finalist of the Search, you must be willing to virtually present your product in front of a group of
panelists from HSN beginning the week of September 12, 2022. • Qurate Retail Group (“QRG”), of
which HSN is a part, is committed to avoiding Conflicts of Interest in our business, whether actual or
perceived. Conflicts of interest arise in a variety of ways, some examples include: •Personal relationships
between vendors and QRG team members, including familial, romantic, and friend relationships; •
Employment or other business relationships between vendors and QRG team members (in a personal
capacity); and •Financial interests held by QRG team members in a vendor’s business. •  Applicants
and/or finalists must be willing to participate in press activities and social promotion for HSN’s PRODUCT
SEARCH, as requested on a case-by-case basis.
